Here to clarify. If you would like an explanation before ordering, please email hello@rosier.us.

Introduction

These Terms of Service (the “Terms”) set out the conditions that apply to the sale and purchase of goods, your use of rosier.us (the “Site”), and the services associated with it (collectively, the “Service”). When you buy goods from us, your contract is with Evergrow Mercantile Inc, a private corporation in the United States trading as Rosier.US. In these Terms, “Rosier.US”, “we”, “us” and “our” refer to that company. Its registered business address is:

Evergrow Mercantile Inc
1500 N GRANT ST STE R
DENVER CO 80302
US

This is a registered business address, not an address for returns.

Accessing the Site, using any part of the Service or buying from us means that you accept these Terms, along with the additional policies referred to here or linked from them. They cover every Site user, including visitors, shoppers, merchants, vendors and people who contribute content.

Read these Terms before you access or use the Site. If you do not accept them, you must refrain from accessing the Site and using the Service. Should these Terms be treated as an offer, acceptance is limited expressly to the provisions of these Terms.

Any features, resources or tools that we introduce to the store will fall under these Terms as well. We may revise, amend or replace any part by publishing an updated version here. Where applicable law permits, continuing to use the Site after publication means that you accept the changes.

We use the SHOPLINE e-commerce platform to operate our online store and make our products and services available to you.

Using our store

Your acceptance of these Terms confirms that you have reached the age of majority where you live. If you are an adult and allow a minor who is your dependent to use the Site, you also confirm that you have consented to that use.

Our products and the Service must not be used for unlawful or unauthorized purposes. When using the Service, you must comply with all laws that apply to you, including laws protecting intellectual property.

Sending viruses, worms, malware or any other harmful or destructive code is prohibited.

Failure to comply with these Terms may lead to your access to the Service being suspended or ended immediately.

General conditions

At any time, we may decline to provide the Service to any person on any lawful grounds.

You acknowledge that the content you provide, excluding payment-card details, may travel without encryption. Its transmission may pass through different networks or require technical adjustments to meet the requirements of connected networks or devices. Payment-card details are encrypted when transmitted over networks.

Unless we have given express written permission, you may not reproduce, duplicate, copy, sell, resell or exploit any part of the Service, your use of or access to it, or any contact on the Site through which the Service is supplied.

Section headings are included to help you navigate this document. They do not restrict the Terms or alter how they are interpreted.

Website information

We accept no responsibility when information on the Site is incomplete, inaccurate or out of date. The material is intended as general information, so it should not be your only basis for making a decision without checking primary sources or information that is more accurate, complete and current. You rely on the Site’s material at your own risk.

Some information on the Site may relate to the past. Such material is supplied for reference and is not current. We can change Site content whenever we choose, but have no duty to update it unless the law requires us to do so. Keeping track of changes to the Site is your responsibility.

Service & pricing

We may adjust product prices without giving advance notice.

The Service, including any of its features or content, may be changed, paused or discontinued by us at any time without notice.

As far as the law allows, we accept no liability for changes to the Service or prices, or for the Service being suspended or discontinued.

Products & availability

Some products or services are offered online only and may be available in limited quantities. Returns and exchanges for them are governed exclusively by our Returns & Exchanges Policy.

Although we take reasonable steps to present product photographs and colors faithfully, we cannot promise that every color will appear accurately on your device.

We may choose, without being required, to restrict sales to particular people, households, locations or jurisdictions, assessing each situation individually. We can also limit quantities, revise descriptions or prices, and withdraw products at any time without notice. Offers made through the Site have no effect wherever they are prohibited.

Unless we expressly say otherwise or the law requires it, we make no warranty that products, services, information or other materials you obtain through the Service will satisfy every expectation, or that all errors in the Service will be resolved.

Orders & account details

Subject to applicable law, we may use our discretion to reject, restrict or cancel an order. Limits may cover orders associated with the same account, payment method, billing address or delivery address. We may also restrict or refuse orders that seem to come from dealers, resellers or distributors.

When an order is changed or cancelled, we may try to reach you using the email address, billing address or phone number you gave us at checkout.

You agree to supply complete, accurate and up-to-date account and purchase details. You must promptly update those details, including your email address and payment-card information, so that we can process transactions and contact you as needed.

Further details are available in our Returns & Exchanges Policy.

Optional third-party tools

We may make third-party tools accessible through the Service even though we do not oversee, control or administer them.

These tools are made accessible on an “as is” and “as available” basis. We provide no warranties, representations, conditions or endorsement of any kind in relation to them. To the fullest extent the law permits, we accept no liability for losses arising from or connected with your use of optional third-party tools.

Whether to use an optional tool is entirely your decision, and you do so entirely at your own risk. Before using it, review and accept the terms on which its third-party provider offers it.

These Terms also cover any additional services, features, tools or resources we introduce through the Site.

External links & content

Materials supplied by third parties may form part of the content, products or services offered through the Service.

Links to external sites may take you to businesses that have no affiliation with us. We do not control those sites, undertake to examine or assess their content or accuracy, or accept responsibility for their materials, products or services. We give no warranty in respect of them.

To the extent permitted by law, we are not liable for harm or losses associated with third-party websites, including purchases, transactions, content, resources, or the use of goods and services. Read the relevant third party’s policies before transacting with them. Direct any questions or complaints concerning their products or services to that third party.

Feedback & submissions

You may send us contest entries, ideas, suggestions, proposals, plans or other materials, either in response to a request or on your own initiative. Whether delivered online, by email, by post or another method, these materials are referred to as “Comments”. By submitting them, you agree that, subject to applicable law, we may edit, reproduce, publish, distribute, translate or otherwise use them in any medium without restriction.

Except where the law requires otherwise, we have no duty to treat Comments as confidential, compensate you for them or reply to them.

We can, but are not required to, review, edit or remove material that we reasonably consider unlawful, offensive, threatening, defamatory, obscene, objectionable, or contrary to intellectual property rights or these Terms.

You must ensure that your Comments respect all third-party rights, including copyright, trademarks, privacy, personality rights and other personal or proprietary rights. They must not include unlawful, abusive or obscene content, viruses or malware. You must not submit them using a false email address, pretend to be someone else, or mislead us or anyone else about who created them.

Responsibility for your Comments and their accuracy rests with you alone. We take no responsibility for Comments published by you or any other third party.

Corrections & updates

Occasionally, the Site or Service may contain mistakes, omissions or typing errors. These may concern descriptions, prices, promotions, offers, delivery charges, transit times or product availability.

Where information within the Service or on a related website is incorrect, we may correct it, update it or cancel orders at any time without advance notice, including after you have placed an order, subject to applicable law.

Unless legally required, we have no obligation to revise, explain or bring information in the Service up to date, including price information. The presence of an update or refresh date does not indicate that every item of information has been changed or updated.

Prohibited activities

Alongside the restrictions set out elsewhere in these Terms, the Site and its content must not be used to:

  1. pursue any illegal purpose;
  2. encourage or solicit another person to engage in unlawful conduct;
  3. breach any applicable law, regulation, rule or ordinance at an international, national, regional or local level;
  4. infringe intellectual property belonging to us or to anyone else;
  5. harass, abuse, insult, harm, defame, intimidate or discriminate against another person;
  6. provide information that is false or misleading;
  7. introduce or transmit viruses, malware or other malicious code;
  8. gather or track someone else’s personal information without lawful authority;
  9. carry out spamming, phishing, pharming, pretexting, spidering, crawling or scraping;
  10. engage in obscene or immoral activities; or
  11. disrupt or bypass the security features of the Service, any related website, other websites or the internet.

Engaging in any of these activities may result in us suspending or ending your use of the Service or a related website.

Warranties & liability

We make no promise that access to or use of the Service will be continuous, timely, secure or free of errors.

We also give no warranty that using the Service will consistently produce accurate or reliable results.

We can withdraw the Service for an indefinite period or cancel it whenever we choose, without notice.

To the fullest extent allowed by law, you bear the risk of using the Service or being unable to use it. Unless we expressly provide otherwise or the law requires otherwise, the Service and every product or service supplied through it are offered “as is” and “as available”. No express or implied representation, warranty or condition is given, including any implied warranty or condition concerning merchantability, merchantable quality, fitness for a particular purpose, durability, title or non-infringement.

As far as the law permits, neither Evergrow Mercantile Inc, Rosier.US, nor our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors will be liable for any injury, loss or claim, or for indirect, incidental, punitive, special or consequential damages arising from your use of the Service, products obtained through it, or content provided through it. This includes lost profits, revenue, savings or data, replacement costs and similar losses. The exclusion applies whether a claim is founded on contract, tort (including negligence), strict liability or another basis, even where the possibility of the loss has been brought to our attention.

If the law of a jurisdiction does not allow a particular liability or type of damage to be excluded or limited, our liability is restricted only as far as that law allows. These Terms do not remove or restrict any liability or consumer right that cannot legally be excluded or limited.

Indemnification

If a third party brings a claim or demand arising from your breach of these Terms, any document incorporated into them by reference, or any law or third-party right, you agree to indemnify, defend and hold harmless Evergrow Mercantile Inc, Rosier.US, and our parent companies, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees. This obligation includes reasonable legal fees associated with that claim or demand.

Severability

A finding that part of these Terms is unlawful, void or unenforceable does not invalidate the rest. The affected provision will apply to the greatest extent the law permits, with any unenforceable part treated as removed. All remaining provisions retain their validity and enforceability.

Ending this agreement

Ending this agreement does not affect obligations or liabilities that arose before its termination date; they continue for all purposes.

These Terms stay in force until you or we terminate them. You may do so at any time by telling us that you no longer want to use the Service or by stopping your use of the Site.

We may end this agreement without notice if we reasonably conclude, or reasonably suspect, that you have not complied with these Terms. You remain responsible for all amounts owed up to and including the termination date, and we may refuse you access to some or all of the Service.

The complete agreement

If we do not exercise a right or enforce a provision of these Terms, that does not mean we have waived it.

These Terms, together with the policies and operating rules we publish on the Site concerning the Service, form the full agreement and understanding between you and us about your use of the Service. They replace all earlier or simultaneous agreements, communications and proposals, whether spoken or written, including earlier editions of these Terms.

Any uncertainty about the meaning of these Terms must not be interpreted against the party responsible for drafting them.

Governing Law

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Colorado, US, without regard to its conflict of law principles.

Consumer protection rights that cannot be waived under the laws of your place of residence are not restricted by this section.

Revisions to the Terms

The latest version of these Terms is always available for you to read on this page.

We may amend, update or replace any part of the Terms by publishing a revised version on the Site. Please check this page periodically; doing so is your responsibility. To the extent allowed by applicable law, using or accessing the Site or Service after the revised Terms appear means that you accept them.
